Director of Corporate Administration: NetNumber is a privately held company focused on the development of software supporting signaling and routing options within the global telecommunications industry. The Director of Corporate Administration at NetNumber oversees risk management and legal activities, guarantees compliance with all relevant regulations by ensuring that all NetNumber-related functions are conducted in compliance with federal and regional regulations. Responsibilities: Contracts
· Oversee contracts including review, drafting, negotiating, structuring, interpreting, executing, and/or administering contractual documents.
· Drive contract lifecycle, change control process, and related correspondence requiring legal input.
· Interpret contracts and advises sales / consulting managers on contractual responsibilities.
· Translate complex commercial/legal scenarios into simple language and action plans.
· Mentor and train less experienced contract professionals.
· Supplier management focus with some customer-facing responsibilities. Procurement
· Create understanding and alignment between the company’s organizational actions and prescribed company procurement policies and procedures.
· Prepare, negotiate, award and manages contracts, subcontracts, and agreements.
· Review, summarize, and brief senior/executive level management on vendor contract terms and conditions.
· Exercise critical thinking and discretion in solving complex contract and business issues.
· Provide timely and responsive generation and negotiation of supporting contractual documents, such as nondisclosure agreements, software evaluation, and license agreements Compliance & Entities
· Maintain up-to-date records on the fiduciary, regulatory, and statutory responsibilities of each business entity in the corporation and its directors, officers, managers, and partners.
· Negotiate and maintains appropriate commercial insurance.
· Provide secure access to the corporate record to support both internal business needs and external requirements.
· Act as a point of contact for all governance matters and management of legal entities globally.
· Draft and reviews of materials related to global entities including formation documents, board, and shareholder meeting documentation, and other compliance documentation as necessary
· Assist with business license renewals/registrations and powers of attorney in conjunction with the executive team.
· Coordinate with members of the finance team to ensure entity compliance including the creation and maintenance of annual compliance calendars, corporate filings, reports, and audits.
· Plan and coordinate proactively with a cross-functional team to effectively support the corporate structure.
· Manage and educate internal stakeholders on signature authority
· Assist with the implementation of entity or corporate actions resulting from regulatory developments
· Identify, mitigate, monitor, and manage vendor risk; and ensure regulatory and compliance requirements are met Investor Relations:
· Contribute to the production of effective investor communications (routine and ad hoc), periodic updates.
· Stay current on all company business activities and maintain strong sector expertise, including both financial and non-financial matters, in order to be responsive to investors, as well as to be able to communicate effectively with management
· Assist with presentations for investor/corporate communications/board meetings.
· Maintain current investor shareholder agreements to ensure they are informative and accurate and relevant to the current environment. Qualifications, Knowledge, and Experience:
· 8 years of relevant experience.
· Demonstrated telecommunications/software industry related experience.
· Demonstrated experience in effectively collaborating with executives and senior leaders.
· Bachelor’s degree in business-related discipline. JD preferred.
· Excellent planning and organizational skills; High level of written and verbal communication skills.
· Good level of corporate governance knowledge, ideally on an international basis.
· Ability to communicate confidently and build relationships with all stakeholders.
· Experience with international entity management.
· Experience with contract negotiation, risk management, and procurement.
