The Role

We are currently looking to recruit a Subsidiaries Assistant Company Secretary to join our Corporate Services team. Reporting to the Deputy Company Secretary and accountable to the Company Secretary / Director of Legal, this role will play a key part in supporting the governance and statutory compliance of our subsidiary companies connected to the charity and hospital.

The successful candidate will work closely with the Deputy Company Secretary, Executive Team and Boards to ensure subsidiary businesses operate in accordance with their governing documents, company law, charity law and regulatory requirements. This is an excellent opportunity for an ICSA qualified or part-qualified governance professional with strong board support experience to contribute within a complex and purpose-driven healthcare environment.

Key Duties:

Board and Committee Support
* Lead the organisation and management of all subsidiary company meetings in line with governing documents
* Deliver and maintain the annual subsidiaries meeting calendar
* Prepare agendas and commission reports, presentations and papers
* Collate and issue meeting packs in a timely manner, supporting authors and drafting papers where required
* Act as secretary to subsidiary board and members' meetings, including producing accurate board-level minutes
* Draft and review terms of reference, resolutions and action logs
* Maintain records of matters reserved to Boards and Committees

Directors, Members and Statutory Compliance
* Support the administration of all subsidiary companies
* Ensure Boards and Committees are properly constituted and supported
* Coordinate and maintain statutory filings and corporate records
* Arrange and maintain records of directors' and members' induction and training
* Support year-end processes and external audits, including contributing to Annual Reports

Wider Corporate Governance Support
* Provide cross-cover for Company Secretariat duties as required
* Support strategic or exceptional governance projects, including implementation of new legislation, guidance development and gap analysis
* Maintain strict confidentiality and promote high standards of professionalism and integrity

Skills and Experience:

Qualifications:
* ICSA qualified or part qualified(Essential)

Experience
* Minimum of 4 years' experience within a similar sized limited company or charity
* Experience supporting Boards and Committees, including agenda setting and minute taking
* Experience of subsidiary governance and managing corporate governance processes
* Previous healthcare sector experience (desirable)

Knowledge
* Corporate governance and company law
* Charity law and governance
* Healthcare regulation (desirable)

* Ability to work autonomously and manage competing priorities

* Strong board-level minute taking skills
* High level of professionalism and discretion
* Excellent attention to detail
