Job description:

A multinational corporation providing IT services, including digital, technology, consulting, and operations services is currently looking for an experienced paralegal or junior commercial lawyer to join their legal team. The role will involve particular focus on the day-to-day support and integration of a newly acquired entity, coordinating across all corporate functions on legal and contractual matters on integration of the newly acquired entity. This role initially starts as a fixed term contract for up to 12 months and is primarily located in London.

 Key Responsibilities Include:

- Reviewing, summarising and cataloguing existing contracts relating to the acquired company to identify and manage key risks (including customer/vendor contracts and licences);

- Reviewing, marking-up and negotiating technology-driven commercial contracts with customers (under supervision from a senior attorney where required); 

- Advising business teams on all matters of UK law and contract as required (under supervision where required);  

- Collaborating with attorneys in the team to develop and maintain templates, playbooks, contracting policies, negotiation practices, and escalation procedures.

- Reviewing, drafting and negotiating Non-Disclosure Agreements, RFP tenders, teaming agreements, SOWs, other commercial agreements and responding to queries from the clients or business teams;


Additional Responsibilities May Include:

- Responding to day to day contract related queries;

- Monitoring legal and regulatory changes;

- Arranging team meetings and events;

- Tracking external counsel spend and monthly reporting;

- Updating project plans, team work logs and tracking progress;

- Conducting legal research and assisting organizing legal training programmes;

- Preparing legal checklists and summaries, including GDPR related materials;

- Supporting M&A work, including due diligence and integration planning;

- Maintaining legal team filings and record keeping;

- Maintaining share drives, distribution lists and legal intranet site;

- Preparing presentations in PowerPoint and using Excel spreadsheets;

- Proof reading documents.



Profile description:

Your Profile:

- Experienced paralegal or junior commercial lawyer with a good level of relevant experience in a variety of commercial transactions;

- Prior experience in the manufacturing or life sciences industry, or M&A integrations is preferred;

- Prior exposure to IT outsourcing is a plus; 

- Experience in a variety of contract drafting and negotiations;

- Exposure to master service agreements or other commercial agreements with complex intellectual property, licensing, privacy, indemnity, and liability issues is strongly referred;

- Able to operate within an international environment, across different time zones and with a diversity of cultures; 

- Relevant legal/compliance qualifications and experience e.g. law degree;

- Excellent organisation and project management skills essential;

- Contract law and technology contracts knowledge desirable, plus a keen interest to learn more about technology outsourcing;

- Previous paralegal/legal experience desirable;

- Excellent IT skills required including proficiency in Outlook, Word, Excel and PowerPoint; 

- Strong communication skills; both verbally and in writing;

- Able to multitask with rapidly changing priorities and to manage multiple tasks in a dynamic environment;

- Flexible, strong and self-assured personality;

- Good attention to detail.
